The Income Tax Manager ("Manager") position is a full-time employment position in our Reston, VA office location in which the Manager is an integral member of the comScore tax department who provides leadership and management of our income tax compliance, reporting, and forecasting. The Manager will report directly to the Director of Global Tax Compliance and indirectly to the Senior Director of International Tax.

 

Essential Duties & Responsibilities:

 

  • Manages all U.S. Federal and state income tax reporting and analysis, including tax returns, book/tax differences, estimated payments, cash forecasting, tax research and analysis/planning associated with these functions.
  • Manages the preparation of foreign information returns (e.g. Forms 5471) and other forms as required.
  • Coordinates the preparation of all international income tax returns, estimated tax payments, etc. and prepares the return to provision analysis to analyze the tax impact to the financial statements.
  • Manages the preparation of the annual and quarterly global income tax provision calculations in accordance with ASC 740 Accounting for Income Taxes, including analysis and documentation of uncertain tax positions.
  • Manages the OneSource platform for income tax return and tax provision preparation, assisting with additional implementation to improve processes and increase tax department efficiencies.
  • Assists the Director of Global Tax Compliance in the identification and implementation of domestic and foreign tax planning opportunities in an effort to minimize both GAAP and cash taxes.
  • Assists the Director of Global Tax Compliance with analyzing the income tax impact and reporting requirements for special transactions, including acquisitions, restructuring and dispositions.
  • Assists the Director of Global Tax Compliance with coordination of SOX reporting and controls, including working with tax and other finance personnel to update and maintain the tax department policies and procedures for all income tax processes.
  • Assists the Director of Global Tax Compliance with coordination of federal and state income/franchise tax audits, including drafting responses to inquiries and tax notices.
  • Monitors changes to US tax laws and regulations and determines the financial statement impact.
  • Maintains positive working relationships with and when necessary provides support to other members of the finance and accounting department, legal department, etc.

ESSENTIAL DUTIES AND RESPONSIBILITIES:

  • Manages grant cycles from start to finish, ensuring that equity awards are administered in accordance with the terms and conditions of the agreements, governing equity incentive plan, and internal processes and procedures. Grant responsibilities include: interpreting approved minutes, preparing stock plan administration database with new grant, vesting, performance and product IDs, loading and obtaining approval for grants in compliance with SOX guidelines, notifying participants of awards, and all follow-up activities with transfer agent.
  • Responsible for all Section 16 Officers: Form 3 and Form 4 filings, and completes these filings accurately and within filing timelines. Maintains and tracks all 10b5-1 documentation.
  • Collaborates with internal departments and stock plan administration database vendor (Fidelity Stock Plan Services: Plan Sponsor Webstation “Fidelity PSW”) to implement and administer new and sometimes complicated equity grants/programs. Manages components of new and existing programs outside of database when necessary.
  • Maintains and regularly audits and updates insider statuses for new and existing employees and board members, to include pre-clearance requirements and Section 16 requirements.
  • Responsible for maintaining stock plan administration database. Processes international to domestic (and vice versa) participant platform changes within database. Responsible for all participant data and corrects data issues in a timely manner. Monitors admin access to database and maintains global contact list. Monitors terminations, cancellations, transfers, and other transactions within database for accuracy. Processes accelerations, cancellations and similar transactions.  Assists users with questions about their accounts.
  • Handles and monitors all transactions with transfer agent. Processes and submits entries for vestings and cancellations, and submits DWAC entries for grants. Handles requests for opinions from start to finish.
  • Determines dates for quarterly open trading windows and communicates to employees and Board. Processes blackout updates within stock plan administration database. Monitors special black-out periods. Owns all activities associated with trading window.
  • Regularly reconciles transfer agent entries with Finance. Participates in quarterly and yearly internal audits. Leads and manages miscellaneous equity-related audits conducted by external auditors. Establishes and maintains control procedures associated with stock plan administration, and maintains flawless documentation in accordance with SOX Internal Control requirements.
  • Collaborates with Legal and Finance to pull, interpret, and present data for regular quarterly and yearly filings.
  • Main point of contact for stock participants, such as employees and stockholders, as well as brokers. Familiar with different kinds of grants (options, performance, RSAs, RSUs) and can confidently assist participants with their equity questions. Good understanding of historical comScore stock programs and changes to those programs.
  • Completes other projects as assigned.

 

 

QUALIFICATIONS:

  • Bachelor’s Degree in Finance, Accounting, or Economics preferred.
  • Certified Equity Professional (CEP) preferred.
  • 3-5 years of Stock Plan Administration experience.

Duties & Responsibilities:
